Amicorp Group Facilitates Landmark Bond Deal Benefiting Chilean Consumers and Energy Industry
Amicorp Group has played a pivotal role in structuring a landmark bond deal orchestrated by IDB Invest, aimed at providing substantial relief to Chilean consumers and the energy sector.
The deal, supported by Amicorp experts from our offices in Uruguay, Chile, Luxembourg, and the Netherlands, involves a significant “A/B” bond. This initiative is designed to inject liquidity into the market, mitigating the impact on Chilean energy companies resulting from a payment deferral scheme introduced under Law No. 21,472, commonly known as the MPC Law.
As part of the financing structure, these deferrals are secured by payment certificates issued by the MPC Fund, established under this legislation. IDB Invest has committed to purchasing all eligible payment certificates from the fund. USD 180 million for portion “A” is financed from its own resources, while portion “B” is financed through credit note issuance in the global debt market.
Goldman Sachs Co. LLC acted as the arranger and Global Sale Coordinator for the two bond issuances, with J.P. Morgan Securities LLC and ITAU BBA USA Securities Inc. serving as joint bookrunners. Legal advisory was provided by Clifford Chance, with Kunstmann Spiess Abogados advising Amicorp under Chilean law.
