Amicorp Secures Spanish License to Support AIF Investments Across Europe

Amicorp Group has been granted an Alternative Investment Fund Manager (“AIFM”) license by the Spanish regulator that allows us to manage and structure Alternative Investment Funds (“AIFs”) across Europe. It means Amicorp can provide a regulated, flexible, and cost-efficient platform to a diverse range of private asset investment and marketing opportunities.

The Sociedades Gestoras de Entidades de Inversión Colectiva de tipo cerrado (“SGEIC”) license, approved under EU Directive 2011/61, can be passported into any other European Union (“EU”) country, creating an efficient way for global fund or asset managers, institutional investors, and family offices to quickly access European markets and investors.

Significant Benefits Offered – Including Supporting Long-Term Capital Growth

With several pooled investment structures available and a broad range of administrative and regulatory support services to plug into, our AIFM license provides an easy way for international investment managers to set up and run a fully compliant European AIF, while maintaining control over the investment strategies and decisions of your fund.

AIFs can meet many different investment strategies and can be set up through a wide range of vehicles across Europe – from harmonized European Venture Capital funds (“EuVECA”) to Reserved Alternative Investment Funds (“RAIFs”), Capital Riesgo funds (“ECRs”), and Portuguese Alternative Investment Entities (“OIAs”).

AIFs can be structured as a stand-alone entity or as an umbrella with multiple sub-funds, each having segregated liability, and can be established as a company, a partnership, or as a fund with or without a legal personality, when done through an AIFM license holder.

Our license supports a wide range of private asset investments, including real estate, private companies (including start-ups), infrastructure projects (including green energy), agribusiness, and specialized assets such as forestry, mining, art, wine, aircraft, and legal claims.

And, with the many Asset Protection and Double Taxation treaties the EU has in place, European AIFs offer attractive tax benefits for international investors, such as tax-exempt proceeds from participating entities, and, in many cases, tax deferral mechanisms to support long-term capital growth.

Who Could Benefit from Our New AIFM License and Complementary Services?

  • An unregulated fund manager looking for a third-party AIFM to set up a regulated AIF structure to enhance credibility, tax efficiencies, and get access to a wider investor base
  • A Brazilian Fundo de Investimento em Participações (“FIP”) investment fund acting as a master fund wanting to onboard European investors through a feeder fund in Europe as part of its fundraising activities
  • Transitioning a holding company failing to meet substance requirements into an AIF. By engaging with an AIFM, the entity avoids tax penalties, gains access to DTT benefits, and ensures it aligns with global standards on Base Erosion and Profit Shifting (“BEPS”)
  • A Mexican entrepreneur looking to set up a Spanish fund to take advantage of Double Taxation Treaties and Bilateral Investment Treaties to support investments in fintech startups across Latin America
  • A hospitality asset manager in Portugal wanting to onboard foreign investors interested in taking advantage of the Golden Visa regime

Our new Spanish AIFM license complements Amicorp’s existing fund administration and compliance services we offer from our offices in Luxembourg, Malta, the Netherlands, and Cyprus. This license will also allow Amicorp to provide Administration and Compliance services from Spain and Portugal. It means we can now provide a single source solution to a complete range of fund management services.”
